Business Contract

Authority to Contract.

eNotary On Call agrees to allow you to utilize eNotary On Call platform and other services provided by eNotary On Call for your notary service business, whether conducted in an individual capacity or as business entity. If you are an individual, you represent that you are 18 years of age or older, or if an entity, that you are in good standing with the laws of your state allowing you to run this business and that you have full authority to enter into this agreement.

Services, Fees and Costs.

eNotary On Call agrees to allow you to utilize its platform to provide notary services to your clients via notaries selected by you if such notaries meet the requirements of notaries in your state and are otherwise approved by Company. eNotary On Call will bill and collect for such services via Company’s platform and in accordance with fees, costs and terms set forth on the company’s website, including the Company’s Policies and Procedures and Privacy Policy.

Reimbursement for Errors.

You agree to reimburse eNotary On Call the full amount of any refund made by eNotary On Call to your customer due to notary error. You further agree to reimburse eNotary On Call for all transaction fees incurred by eNotary On Call for processing the transaction and refund. You agree that eNotary On Call may set off any amounts due for reimbursement against funds due you. Alternatively, at the sole discretion of eNotary On Call and upon written request, you agree to reimburse eNotary On Call within 10 days of such request.

Removal.

You agree that eNotary On Call shall have the right, for any reason, to remove your business or an individual notary associated with your business for any reason.

Cancellation.

To cancel service, Customer must provide eNotary On Call with written notice of cancellation sent by e-mail to support@enotaryoncall.com no less than 10 days before Customer’s monthly payment is due as set forth in Customer’s agreement. Until notice of cancellation is received by eNotary On Call and cancellation is finalized, service will continue, and the Customer will be responsible for payment for such services. Only month-to-month Agreements may be cancelled. Any Customer agreements for other than month-to-month services are non-cancellable and non-terminable by Customer, and no monies will be refunded, including any monies for development and any IT and Support charges to set up white label or enterprise business subscription accounts (collectively (“Customization charges”). Additional monies owed for Customization charges and other charges as identified in the agreement shall remain due as set forth in the Agreement. eNotary On Call may cancel Customer’s agreement and cease services if Customer fails to pay monies owed pursuant to contract terms. eNotary On Call may also cancel Customer’s agreement and cease services if Customer or its agents fail to comply with relevant laws and the jurisdiction in which Customer resides, state or federal laws or rules and regulations, or eNotary On Call ‘s General Terms and Policies and Procedures as changed from time to time.

Compliance with Laws.

You agree that you are solely responsible for assuring compliance, that your notaries comply with all applicable laws, the Company’s Policies and Procedures and Privacy Policy, and any other applicable regulations by your notaries. You agree to remove any notary who fails to comply with the above and further agree to notify eNotary On Call if you become aware of any transaction in which your notary has not complied with applicable laws, the Company’s Policies and Procedures and Privacy Policy, and any other applicable regulations.
